The requirements ofconfidentiality and non-use contained in Clause 2 above shall not apply to information which the receiving Party can prove,with tangibleevidence,that such information is (a)already in the public domain or becomes publicly available through no breach ofthis Agreement by the receiving Party,(b) lawfully received without any restriction on use or disclosure from a third party free to disclose such information to the receiving Party ; provided that such thirdparty was not known to the receiving Party to be bound to the Disclosing Partyby a confidentiality agreement (c) in the receiving Party’s possession at thetime of disclosure by the disclosing Party as shown by written evidence.
The confidentiality obligations contained herein shall survive expiration or termination of this Agreement fora period of three years.
